PropMIS

By registering for or using the PropMIS platform ("Platform"), you ("User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Platform.
These Terms constitute a legally binding agreement between you and PropMIS ("PropMIS", "we", "us", or "our").
PropMIS provides software tools to help manage your community. It does not act as a property manager, legal, financial, or fiduciary advisor. Please review the Terms before continuing.
PropMIS is a software-as-a-service (SaaS) platform designed to assist homeowner associations (HOAs) and property management organizations with administrative functions, including but not limited to: dues collection, document storage, community communications, voting and polling, vendor management, and resident portal access. All decisions made using our Platform are the sole responsibility of the organization and its authorized representatives.
You must be at least 18 years of age and have the legal authority to enter into binding contracts to use this Platform. By registering, you represent and warrant that you meet these requirements.
You agree to provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You may use the Platform solely for lawful purposes related to HOA and property management administration. You agree not to:
PropMIS may charge subscription fees and usage-based fees as described on our pricing page or as agreed in a separate order form. All fees are non-refundable except as expressly stated herein or required by law. We reserve the right to suspend or terminate access for non-payment.
You retain ownership of all data and content you upload to the Platform ("User Content"). By uploading User Content, you grant PropMIS a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely to provide the Platform services.
You are solely responsible for the accuracy, legality, and appropriateness of all User Content. PropMIS is not liable for any User Content.
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the data practices described in our Privacy Policy.
All Platform software, design, trademarks, and content owned by PropMIS are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any PropMIS intellectual property without our prior written consent.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROPMIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless PropMIS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
We may suspend or terminate your access to the Platform at any time for any reason, including violation of these Terms. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be resolved by binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
We reserve the right to modify these Terms at any time. We will notify users of material changes by updating the version date and, where feasible, by email. Your continued use of the Platform after any modification constitutes acceptance of the updated Terms.
These Terms, together with the Privacy Policy and any applicable order forms, constitute the entire agreement between you and PropMIS concerning the Platform and supersede all prior agreements, representations, and understandings.
